Terms of Service

By accessing or using any service, website, or product offered by ABC Technosoft ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and clients who access or use our services, including web development, mobile app development, digital marketing, SEO services, CRM/CMS solutions, graphic design, content writing, and brand strategy services.

We reserve the right to update these Terms at any time. We will notify clients of significant changes via email or a notice on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.

ABC Technosoft provides a range of IT and digital services including but not limited to: Web Development (custom websites, web applications, e-commerce platforms), Mobile App Development (iOS, Android, cross-platform apps), Digital Marketing (social media management, paid advertising campaigns), SEO Services (on-page, off-page, and technical SEO), CRM & CMS Solutions, Graphic Design, Content Writing, and Brand Strategy.

All services are subject to a separate written agreement, Statement of Work (SOW), or project proposal that defines deliverables, timelines, and payment terms. These Terms apply in conjunction with such agreements.

We reserve the right to refuse service to anyone at our sole discretion. We may also modify, suspend, or discontinue any part of our services with reasonable notice.

Payment terms are specified in the individual project proposal or agreement. Unless otherwise agreed in writing, an advance payment of 50% of the total project cost is required before commencement of any project.

The remaining balance is due upon project completion and prior to the final handover of deliverables. For ongoing retainer services, invoices are raised monthly and are due within 15 days of the invoice date.

Late payments may attract an interest charge of 1.5% per month on the outstanding balance. ABC Technosoft reserves the right to pause or suspend services in the event of non-payment after due notice.

All prices are exclusive of applicable taxes (including GST) unless stated otherwise. Clients are responsible for any bank transfer fees or transaction charges.

Upon receipt of full payment, the Client will own all rights to the final deliverables specifically created for them under the project agreement, unless otherwise specified in writing.

ABC Technosoft retains ownership of all tools, frameworks, libraries, pre-existing code, templates, and methodologies used during the development process. We may use our proprietary tools and third-party open-source components within client projects.

ABC Technosoft reserves the right to display completed work in our portfolio and marketing materials unless the Client requests confidentiality in writing prior to project commencement.

The Client warrants that any content, images, logos, or materials provided to ABC Technosoft are owned by or licensed to the Client, and the Client indemnifies ABC Technosoft against any third-party intellectual property claims.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical details, user data, and any non-public information.

Confidentiality obligations survive the termination of the project or these Terms for a period of two (2) years, unless the information becomes publicly known through lawful means.

ABC Technosoft will not sell, rent, or disclose your confidential business information to third parties without your explicit written consent.

ABC Technosoft's liability under any project or agreement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages including loss of profits, data, or goodwill, arising out of or related to our services.

ABC Technosoft is not responsible for third-party services, platforms, or APIs integrated into or used alongside our deliverables. This includes but is not limited to cloud hosting providers, payment gateways, or third-party plugins.

We make reasonable efforts to ensure the accuracy, security, and reliability of our deliverables but do not guarantee that they will be error-free or operate without interruption.

Either party may terminate a project or service agreement by providing written notice of at least 14 days. Upon termination, the Client shall pay for all work completed up to the date of termination.

ABC Technosoft may immediately terminate services if the Client breaches these Terms, fails to make timely payments, or engages in unlawful or unethical activity.

Upon termination, each party shall return or destroy confidential information belonging to the other party, and any licenses granted shall cease immediately.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

If negotiation fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India.
